Terms and Conditions (Educators)

Young Change Agents [Young Change Agents] ("Young Change Agents," "we," or "us") owns and operates the website located at https://youngchangeagents.com/ ("Website"), the Platforms located at https://app.youngchangeagents.com/ ("Platform") which provides entrepreneurial learning for educators and youth and any other services provided via the Website, Platform or by Young Change Agents to you (" all together, the Services"). 

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using or accessing the Website, Platform and/or Services, as these Terms and Conditions will apply to all educators, users and anyone who accesses  Website, Platform and/or Services ("you", "yours").  

Young Change Agents is an Australian not-for-profit social enterprise that exists to help youth think of problems as opportunities and make a positive change in the world through enterprise. The intention of our Services is to help amplify the voices of young people and support educators to deliver entrepreneurial programs for youth. 

Educators are supported in teaching entrepreneurial learning through access to online learning resources and digital materials, technology that supports the delivery of programs with youth and youth amplification of ideas, and online events and forums to connect with other educators through a community of practice.

1.0 Terms and Conditions Educators
Your access to and use of Young Change Agents Website, Services and Technology is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service as part of a Youth Design Challenge you agree to be bound by these Terms, as updated by us from time to time. You should check this page regularly to take notice of any changes we may have made to the Terms and Conditions. 

2.0 Terms and Conditions
By accessing or using Young Change Agents Services you agree to be bound by these general Terms regarding all aspects mentioned above.

You acknowledge that we retain exclusive ownership and control of the intellectual property rights in all software, design, materials and content (including photographic images) made available to you on or through the Website, Services or Platform. 

2.1 Access
Children under the age of 13 are not allowed to create an account or otherwise use the Services. If you are under 13 please ask your parent or guardian to set up an account using their email address if you wish to use the Services (eg to post a project, enter awards or competitions or share a portfolio).

If you are accepting these Terms on behalf of another legal entity, including a business or a government, you represent that you have full legal authority to bind such entity to these terms.

You may browse the Site and view Content without registering, but as a condition to using certain aspects of the Site, you may be required to register with us and select a password and screen name ("User ID"). You shall provide us with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of the Terms and Conditions of Use, which may result in immediate termination of your account. You shall not (i) select or use as a User ID or domain a name of another person with the intent to impersonate that person; (ii) use as a User ID or domain a name subject to any rights of a person other than you without appropriate authorisation; or (iii) use as a User ID or domain a name that is otherwise offensive, vulgar or obscene. We reserve the right to refuse registration of, or cancel a User ID and domain in our sole discretion. You are solely responsible for activity that occurs on your account and shall be responsible for maintaining the confidentiality of your password. You shall never use another user’s account without such other user’s express permission. You will immediately notify us in writing of any unauthorised use of your account, or other account related security breach of which you are aware.

2.2 Services
Access to the Services is permitted on a temporary basis, and we reserve the right to withdraw or amend the Services without notice. We will not be liable if for any reason the Services are  unavailable at any time or for any period. From time to time, we may restrict access to some parts or all of the Services.

We may, at any time, enhance and/or alter the features of the Services at our sole discretion and without notice to you.

We reserve the right to monitor your use of the Services, through cookies and other means, for the purpose of obtaining insights about how users use the Platform and ensuring you are complying with these Terms and Conditions. 

Young Change Agents grants you a personal, non-transferable, non-exclusive, revocable, limited license to use and access the Services solely as permitted by these Terms.  We reserve all rights not expressly granted to you by these Terms.

Except as permitted through the Services or as otherwise permitted by us in writing, your license does not include the right to:
    • license, sell, transfer, assign, distribute, host, or otherwise commercially exploit the Services or Content;
    • modify, prepare derivative works of, disassemble, decompile, or reverse engineer any part of the Services or content provided to you in connection with the Services; or
    • access the Services or content provided to you in connection with the Services  in order to build a similar or competitive website, product, or service.

We reserve the right to modify, suspend, or discontinue the Services (in whole or in part) at any time, with or without notice to you.  Any future release, update, or other addition to functionality of the Services will be subject to these Terms, which may be updated from time to time.  You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services or any part thereof.

2.3 Account
To use certain features of our Services, you may be required to create a Young Change Agents account (an "Account") and provide us with a username, password, and certain other information about yourself as set forth in the Privacy Policy.

You are responsible for maintaining the confidentiality of your passwords and login details and for all activities carried out under your password and login. You will be required to login using your real name and email address.

You are solely responsible for the information associated with Your Account and anything that happens related to Your Account. You must maintain the security of your Account and promptly notify us if you discover or suspect that someone has accessed your Account without your permission.  We recommend that you use a strong password that is used only with the Services.

You will not license, sell, or transfer your Account without our prior written approval.

All personal information you give us will be dealt with in a confidential manner in accordance with our Privacy Policy. However, due to circumstances outside of our control, we cannot guarantee that all aspects of your use of the Serviceswill be confidential due to the potential ability of third parties to intercept and access such information.

2.4 Content
The Services may contain information, text, links, graphics, photos, videos, or other materials or information provided to you in connection with the Services ("Content"), including Content created with or submitted to the Services by you or through your Account ("Your Content"). We take no responsibility for and we do not expressly or implicitly endorse any of Your Content.

By submitting Your Content to the Services, you represent and warrant that you have all rights, power, and authority necessary to grant the rights to Your Content contained within these Terms.  Because you alone are responsible for Your Content, you may expose yourself to liability if you post or share Content without all necessary rights.

You retain any ownership rights you have in Your Content, but you grant Young Change Agents the following license to use that Content:

When Your Content is created with or submitted to the Services, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, copy, modify, adapt, prepare derivative works from, distribute, perform, and display Your Content and any name, username, voice, or likeness provided in connection with Your Content in all media formats and channels now known or later developed.  This license includes the right for us to make Your Content available for syndication, broadcast, distribution, or publication by other companies, organisations, or individuals who partner with Young Change Agents. You also agree that we may remove metadata associated with Your Content, and you irrevocably waive any claims and assertions of moral rights or attribution with respect to Your Content.

Any ideas, suggestions, and feedback about us or our Services that you provide to us are entirely voluntary, and you agree that we may use such ideas, suggestions, and feedback without compensation or obligation to you.

Although we have no obligation to screen, edit, or monitor Your Content, we may, in our sole discretion, delete or remove Your Content at any time and for any reason, including for a violation of these Terms, or if you otherwise create liability for us.

2.5 Links To Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by Young Change Agents.

Young Change Agents has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that Young Change Agents shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

2.6 Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. This agreement, and any posted revision to this agreement, shall remain in full force and effect while you use Young Change Agents. The latest version will always be available online and it is our users responsibility to check.

2.7 Conduct
In your digital interactions with other users (including but not limited to: comments on projects), you agree to conduct yourself civilly and respectfully. While using the Services, you agree that you shall not under any circumstances harass or make mischief against any other user of the Services. Young Change Agents reserves the right to determine, at its sole discretion, what constitutes harassment or mischief, and where that has occurred; and may, also at its sole discretion, partially or completely deny service to any infringing party. As part of these efforts, Young Change Agents may enlist the help of its active users to moderate flagged messages, comments and other content to determine if a user’s conduct is harmful to the community.  

You must use this Services only for lawful purposes and in a manner that does not infringe the rights of or restrict or inhibit the use and enjoyment of this Services by any third party. This includes conduct which is unlawful or which may harass or cause distress or inconvenience to any person, the transmission of obscene or offensive content or disruption to this Services. You must not post or transmit via this Services any unlawful, defamatory, obscene, offensive or scandalous material, or any material that constitutes or encourages conduct that would contravene any law.

2.8 Disclaimers
The Services are not intended as professional advice and must not be relied upon as such. You should obtain professional advice tailored to your specific circumstances prior to making any decisions.

While we take all due care in providing the Services, we do not provide any specific warranty, either express or implied, including without limitation warranties of merchantability or fitness for a particular purpose except as we are required to by the Australian Consumer Law. 

We take reasonable care in ensuring that any material we provide to you is free of any virus, worm, Trojan horse and/or malware, however we are not responsible for any damage to your device which arises in connection with your use of the Website, Services or any linked websites. Young Change Agents will not be responsible or liable for any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services, or any Content. You also agree that Young Change Agents has no responsibility or liability for the deletion of, or the failure to store or to transmit, any content and other communications maintained by the Services. We make no warranty that the services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. 

No advice or information, whether oral or written, obtained from Young Change Agents or through the Services, will create any warranty not expressly made herein. We encourage our users to keep copies of all their work.

As the Services may be provided online over the internet, we are not responsible for any computer failures, problems or errors, connection speed, interruptions of service or any technical or mechanical malfunctions, or any other malfunctions, whether caused by computer, servers, telephone, cable or satellites, human error, programming, equipment or otherwise related to the attempted entry into and participation during the training session.
Young Change Agents is not responsible for the copyright or trade marking of a team idea and/or project. It is the responsibility of the individual to understand the impact of sharing their ideas on our Services. Young Change Agents is not responsible for the loss of intellectual property caused by the user sharing their idea or a user sharing an idea of a third party. We encourage our users to think carefully before sharing on our Platform and when accessing our Services. We take no responsibility for the copyright of an idea and advise our users to take the appropriate legal action, if they feel necessary, before publicly displaying an idea that they want to protect the intellectual property of.

2.9 Liability 
To the extent permitted by law we exclude all other terms, conditions, warranties and guarantees which might be implied into these Terms and Conditions. Subject to any non-excludable consumer guarantees and other consumer protection provisions set out in the Australian Consumer Law, the material displayed on the is provided without any guarantees, conditions or warranties as to its accuracy. Terms, conditions and warranties implied by law which cannot be excluded, restricted or modified apply to these Terms of Use to the extent required by Law.

Subject to this clause 2.9, our total and aggregate liability for loss suffered or sustained by you in connection with the provision of the Services whether arising as a result of breach of contract, in tort (including negligence) under statute or common law and/or whether or not arising pursuant to an indemnity in these Terms and Conditions, will be limited to the fees paid by you (if any) for the Services or $1, whichever is higher.  

We are not liable to you (or any other person) for any indirect loss arising from a breach of these Terms and Conditions.

You agree to indemnify, defend and hold us (and each of our officers, employees, contractors and agents) harmless against any loss incurred or arising in respect of the death or illness of, or personal injury to, any individual in connection with provision of the Services, except to the extent such loss arises from our negligence or wilful misconduct.

2.10 Termination
You may terminate your Young Change Agents account by submitting such termination request to Young Change Agents.

You agree that Young Change Agents may, without prior notice, immediately terminate, limit your access or suspend your account, and access to services.

2.11 General
These Terms and Conditions prevail in the event that anything in, or associated with, the provision of the Services is inconsistent with these Terms and Conditions.

All or any part of these Terms and Conditions that is illegal or unenforceable will be severed and will not affect the continued operation of the remaining provisions. 

Any failure by Young Change Agents to enforce any provision of these Terms and Conditions shall not be treated as a waiver of that provision, nor shall it affect our right to subsequently enforce that provision.

These Terms and Conditions, together with the Privacy Policy, constitute the entire agreement between you and Young Change Agents and supersede any prior versions of these Terms and Conditions and all other communications whether oral or written, express or implied. 

2.12 Governing Law
These Terms and Conditions and any contract to which they apply shall be governed by the laws of Queensland and are subject to the jurisdiction of the courts of Queensland.
